The present study aimed to identify the features of corporate institutional governance in higher education institutions in England and Canada in order to take advantage of their experience in the development of corporate governance institutions of the Egyptian university education system. The current study problem was identified in answering the following main question: How to benefit from the institutional governance of higher education systems in England and Canada in the development of institutional governance of higher education in Egypt? The current study has been limited to addressing institutional governance system in terms of concept, historical background, objectives, system management, mechanisms, principles, procedures and standards. The study used the entrance of George Bereday in educational comparative studies as it is appropriate to the nature of the study. The study found a range of results, most notably: 1) The two states of comparison were similar in considering the philosophy and concept of governance as one of the global trends in the development and improvement of university institutions management, and they were similar too in the objectives of the corporate governance system, in addition to the similarity in the independence of councils of governance, and adopting a series of standards to judge the efficiency of the institutional governance systems. 2) The two states of comparison were different in looking at governance in England as a management approach that provides the university procedures and policies that define the method which run all its operations efficiently, while in Canada, the concept of governance refers to authority and decision making within the system, The emergence of the governance system also vary, English governance expertise began in the mid-nineteenth century, while the Canadian experience began in 1906, and the governance councils in England have been established more than 150 years ago, while the establishment of councils of governance in Canada was in 1936, and the corporate governance procedures followed by the two States of comparison were different too. In addition to their differences in standards of governance, while English expertise focused on university leadership and the organizational structure, responsibilities and relationships, operations and resource management, effective communication and coordination. Canadian expertise focused on standards of respect for the laws and university regulations, meet the needs of beneficiaries, justice, integrity, transparency, disclosure, participation, freedom and risk management. The study also provided some recommendations that can help the Egyptian universities with the development of institutional governance system. (Published abstract)
