The study aimed to identify the institutional governance in South African schools and the possibility of benefiting from it in the Sultanate of Oman. The study used the descriptive method, and the theory of content analysis was also used in document analysis in collecting data and information. The study reached a number of results, the most important of which are: the need of schools in the Sultanate of Oman for a specific governing body responsible for institutional governance in schools. This governing body includes representatives of all stakeholders of the educational process, including school management, teachers, specialists, students, parents and members of a local community, and this body is trained to carry out specific duties, responsibilities and roles, and this governing body to form a group of various committees to support its work.
